Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Offeline mobile application, related software, and the offeline.site website (collectively, the "Service") provided by Offeline ("we," "us," or "our"). By using the Service, you agree to these Terms.

The Service

Offeline lets you run open-source language models locally on your device for private AI chat. All AI inference for the mobile app runs on your device. Your prompts, conversations, and related chat content are not sent to Offeline servers or to any third-party AI service for processing. Features may include custom assistants, adjustable model settings, local notifications, and model management tools.

Eligibility

You must be able to form a binding contract to use the Service and must comply with applicable laws. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

No Account Required

Offeline does not require you to create an online account. Your profile information, chats, and settings are stored locally on your device unless you choose to share content elsewhere.

Your Responsibilities

You agree that you will not:

• Use the Service for unlawful, harmful, fraudulent, or abusive purposes
• Attempt to interfere with, disrupt, or reverse engineer the Service except where permitted by law
• Use the Service to generate or distribute content that violates the rights of others or applicable law
• Misrepresent AI-generated output as human-authored professional advice where doing so could cause harm
• Circumvent technical limits, licensing restrictions, or security measures of the Service or third-party model providers

You are solely responsible for the prompts you submit, the outputs you use, and any content you copy, publish, or share from the Service.

AI Output Disclaimer

Language models can produce inaccurate, incomplete, biased, or inappropriate responses. Outputs are generated automatically and may change between runs. Offeline does not guarantee the accuracy, reliability, or suitability of any AI-generated content. Do not rely on the Service for medical, legal, financial, safety-critical, or other professional decisions without independent verification.

Models and Third-Party Content

When you choose to download a model, Offeline fetches open-source model files from Hugging Face, Inc. Hugging Face is used only as a model host. After a model is stored on your device, chat and inference run offline on your hardware and do not contact Hugging Face or any other third-party AI provider.

Those model files and hosts are not controlled by Offeline and may be subject to separate licenses and terms. You are responsible for reviewing and complying with applicable model licenses and third-party policies, including Hugging Face's terms and privacy policy. We may change, add, or remove available models at any time.

Intellectual Property

The Service, including its branding, design, and original software, is owned by Offeline or its licensors and is protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks or branding except as needed to use the Service as intended.

Offeline incorporates open-source components, including the Quaynor inference library. Use of those components is subject to their respective licenses.

Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how information is handled in the app and on the Website. In short: Offeline does not share personal chat data with third-party AI services; processing stays on your device, and Hugging Face is contacted only for user-initiated model downloads.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFELINE AND ITS CONTRIBUTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, REVENUE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR USD $50.

Device Resources

Running large language models locally may require substantial storage, memory, battery, and processing power. Performance varies by device, model size, and settings. You are responsible for managing downloads, storage use, and device capacity.

Changes and Termination

We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms by posting a revised version on offeline.site. If you do not agree to updated Terms, you must stop using the Service. You may stop using the Service at any time by uninstalling the app or ceasing use of the Website.

Governing Law

These Terms are governed by the laws applicable where Offeline operates, without regard to conflict-of-law rules, except where mandatory local consumer protections apply.
